1. Consultant's Services: Consultant will provide the following services to the Client: __________________________________________________

6. Independent Contractor: The consultant and the client agree that the consultant is an independent contractor, not an employer. The client will not withhold any taxes from the payment and the consultant will be solely responsible for all taxes including Federal, State and local taxes.

7. Entire Agreement and Amendments: This consultant agreement constitutes the entire agreement of the parties with regard to the subject matter hereof, and replaces and supersedes all other agreements or understandings, whether written or oral. No amendment or extension of the Agreement shall be binding unless in writing and signed by both parties.
